Governance Boards

General Assembly

 

The General Assembly is responsible for appointing the members of the various Governing Boards. It also formulates decisions concerning the establishment, the incorporation or devolution, the merger and dissolution of research entities belonging to Fraunhofer Portugal and decisions concerning amendments to its Statutes.

The General Assembly is composed by representatives of Fraunhofer Portugal’s founding and ordinary associates. The founding associates nominate the President (nominated by Fraunhofer-Gesellschaft) and Vice-President (nominated by CCILA) of the General Assembly. Ordinary associates are natural persons or legal entities who wish to support the work of Fraunhofer Portugal. Honorary members may also be appointed from among the research staff and patrons of Fraunhofer Portugal in recognition for outstanding services to the organisation. At the moment Fraunhofer Portugal doesn’t have any ordinary or honorary associates.

The term of office of the current members of the General Assembly started in 2020 and ends in 2023.

The Supervisory Board controls and advises the members of the Executive Board and comments proposals of the Executive Board submitted to the General Assembly.

Executive Board

 

The Executive Board is responsible for the daily management of Fraunhofer Portugal, being their members the legal representatives of the organisation. The Executive Board defines and executes the organisation’s research policy, its business development strategy and financial plans. It also negotiates the obtainment of institutional funding and decides how it is going to be distributed among its research centres and projects.

The term of office of the current members of the Executive Board started in 2021 and ends in 2024.

Scientific Advisory Council

 

The Scientific Advisory Council is a non-executive, internal consultive organ of Fraunhofer Portugal, providing recommendations and statements to the remaining governing boards.

The Scientific Advisory Council competences are defined as:

> Issuing recommendations concerning research and human resources policy;

> Issuing statements of opinion concerning the planning, budgeting and annual report of Fraunhofer Portugal’s activities;

> Issuing statements of opinion regarding member appointment for the governing boards;

> Issuing statements of opinion concerning other matters other governing boards decide to submit to their appreciation;

> Issuing proposals regarding other aspects related to the activities of Fraunhofer Portugal.

The Scientific Advisory Council is composed of researchers developing their activity within Fraunhofer Portugal research establishments that possess a PhD degree. Upon invitation, other employees and specialists may also join the board.

The term of office of the current members of the Scientific Advisory Council ends in 2024.

Fiscal Board

 

The Fiscal Board is responsible for the verification of the financial statements of Fraunhofer Portugal, guaranteeing the consistency and quality of the financial information provided by the Executive Board to Fraunhofer Portugal’s associates and other relevant stakeholders.

The Fiscal Board consists of three members and includes an official chartered accountant (Revisor Oficial de Contas). Its members are appointed by the General Assembly.
